Our Services are intended for use by healthcare professionals, medical institutions, distributors, and businesses involved in the healthcare industry. By using our Services, you represent and warrant that you are of legal age to form a binding contract and are not prohibited from using our Services under applicable laws.
When you create an account or submit information through our website, you agree to provide accurate, current, and complete information and to update such information to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
When you submit a quote request through our website or other communication channels, we will endeavor to provide a detailed quotation within 24 business hours. Quotations are valid for 30 days from the date of issuance unless otherwise specified. We reserve the right to modify or withdraw quotations due to pricing changes, product availability, or other business reasons.
All orders are subject to acceptance by Medspy Healthcare Solutions. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, suspected fraudulent activity, or failure to meet our credit requirements. If your order is cancelled after payment has been processed, we will issue a full refund.
Upon acceptance of your order, we will send you an order confirmation containing order details, pricing, delivery timeline, and terms of payment. Please review the confirmation carefully and notify us immediately of any discrepancies.
All prices are quoted in Indian Rupees (INR) or other specified currencies and are exclusive of applicable taxes, duties, shipping costs, and handling charges unless otherwise stated. Prices are subject to change without notice. The price charged will be the price in effect at the time the order is accepted by us.
We accept the following payment methods:
Payment terms will be specified in the quotation or invoice. Unless otherwise agreed in writing, payment is due within 30 days of invoice date. Late payments may incur interest charges at the rate of 2% per month or the maximum rate permitted by law, whichever is lower.
All applicable taxes, including but not limited to Goods and Services Tax (GST), customs duties, and import duties, are the responsibility of the customer unless otherwise specified. We will collect applicable taxes as required by law.
Estimated delivery timelines will be provided at the time of order confirmation. Delivery times are estimates only and may vary depending on product availability, shipping destination, customs clearance (for international orders), and other factors beyond our control. We will make reasonable efforts to meet estimated delivery dates but shall not be liable for any delays.
Shipping and handling charges will be calculated based on the destination, weight, dimensions, and value of the shipment. Shipping costs will be clearly stated in the quotation or invoice. For international shipments, additional customs brokerage fees may apply.
Risk of loss and title for products pass to the customer upon delivery to the carrier unless otherwise specified. We recommend purchasing appropriate shipping insurance for high-value orders.
Customers must inspect all shipments upon delivery and report any damage, shortage, or discrepancy within 48 hours of receipt. Failure to report issues within this timeframe may affect your ability to make claims for damaged or missing items.
Due to the nature of medical equipment and supplies, returns are accepted only under the following circumstances:
Returns must be requested within 7 days of delivery. Products must be unused, in original packaging, and in resalable condition. Certain products, including but not limited to disposable items, customized products, and opened sterile packages, are not eligible for return unless defective.
All returns require prior authorization. Contact our customer service team to request a Return Merchandise Authorization (RMA) number. Returns shipped without an RMA number will not be accepted. The customer is responsible for return shipping costs unless the return is due to our error or product defect.
Approved refunds will be processed within 14 business days of receiving the returned product. Refunds will be issued using the original payment method. Shipping costs are non-refundable unless the return is due to our error. A restocking fee of up to 20% may apply to certain returns.
Customers may cancel orders before shipment by contacting us immediately. Orders that have already been shipped cannot be cancelled but may be eligible for return subject to our return policy. Custom or special orders may not be cancellable and may incur cancellation fees.
Products sold by Medspy Healthcare Solutions are covered by the manufacturer's warranty unless otherwise specified. Warranty terms vary by product and manufacturer. We will provide warranty information for each product upon request. Warranty claims should be directed to us, and we will coordinate with manufacturers as necessary.
Warranties do not cover damage caused by misuse, improper installation, unauthorized modifications, normal wear and tear, or failure to follow manufacturer instructions. Warranty claims must be made within the warranty period specified by the manufacturer.
Except for manufacturer warranties and as required by law, our Services and products are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or secure.
We provide products that comply with relevant regulatory standards and certifications as indicated in product specifications. These may include CE marking, ISO certifications, FDA approvals, and other applicable quality standards. It is the customer's responsibility to ensure that products ordered comply with the regulatory requirements of their jurisdiction.
We can provide certificates of compliance, technical documentation, and other regulatory documents upon request. Additional documentation fees may apply for extensive documentation requirements.
To the fullest extent permitted by applicable law, Medspy Healthcare Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or use, arising out of or in connection with these Terms or your use of our Services, whether based on warranty, contract, tort (including negligence), or any other legal theory.
Our total liability to you for any claims arising out of or related to these Terms or our Services shall not exceed the amount paid by you to us for the specific product or service giving rise to the claim, or INR 100,000 (one lakh rupees), whichever is less.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Haridwar, Uttarakhand, India. By using our Services, you consent to the personal jurisdiction of these courts.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiations within 30 days, either party may initiate legal proceedings as provided in this section.
